The Purchaser, through execution of a title transfer document, hereby indemnifies, holds harmless, and releases Seller from and against any and all losses, damages, injuries, liabilities, claims and demands whatsoever, and reasonable expenses in connection therewith, including, but not limited to, counsel fees, arising from all deaths or injuries to any person or damage to any property (including, without limitation, damage to the equipment, and loss of use of equipment) arising from Purchaser’s transport, use, storage, sale, and/or disposal of the equipment. The Purchaser, through execution of this document, hereby indemnifies, defends (with counsel approved by Seller), and holds harmless Seller from any and all claims, damages, fines, judgments, penalties, costs, liabilities, or losses arising from use, storage, generation, or disposal of Hazardous Substances in, on or about the equipment, from and after execution of this document, and arising as a result of such contamination by Purchaser (or its contractors, subcontractors, employees, agents, guests, or invitees). This indemnification includes, without limitation, any and all costs incurred because of any investigation of the site or any cleanup, removal or restoration required or requested by a federal, state or local agency or political subdivision, including, without limitation, any such costs associated with the contamination of adjacent property or ground water as a result of Purchaser's activities respecting the equipment. (a) As used herein, "Hazardous Substance" means (i) any substance which is toxic, ignitable, reactive, or corrosive and which is regulated by any local government, the State of New York or the United States government, (ii) any "hazardous waste", "extremely hazardous waste," "hazardous substance," "toxic substance," "hazardous material," "pollutant" or "contaminant," as defined in state, federal or local governmental law or (iii) any substance whose presence could be detrimental to the Property or hazardous to health or the environment, including but not limited to radioactive materials, including radon, natural gas, natural gas liquids (all of the foregoing gas called "Natural Gas Products"), liquefied natural gas, synthetic gas or mixtures of Natural Gas Products and synthetic gas, lead, asbestos containing materials, polychlorinated biphenyls ("PCBs"), and petroleum products. Purchaser agrees to comply with all federal, state and local environmental laws, rules and regulations.
